Terms and conditions
Introduction
By accessing and using this website (http:/www.leipass.com and any of its affiliated sites, collectively the “Site” or “Sites”) or any of the services provided by LEI Pass AB (“LEI Pass”), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the terms laid out on this page, do not continue to use the Site.
1. General terms
1.1. To apply for, renew or transfer a Legal Entity Identifier (“LEI”) code, fill in the applicable form on the Site, submit the data and pay for the service using any of the available payment options.
1.2. The applicant agrees that by submitting any form on the Site they accept the terms and conditions of this agreement. The applicant acknowledges that any data submitted shall be viewed as final and amendments may not be possible.
1.3. The applicant gives all rights to LEI Pass to apply for LEI codes on the client’s behalf. In addition, the applicant authorizes LEI Pass to sign the RapidLEI Terms of Service contract, published here, and perform all duties required to manage LEI related services on the client’s behalf. The applicant confirms that he/she has the full authority to apply for LEIs on behalf of the relevant legal entity.
1.4. LEI Pass will process the client’s request after payment has been received.
1.5. The applicant is aware that he/she may be contacted to supply a Letter of Authorization (Power of Attorney) or any other proof that the applicant is authorized to apply for LEI on behalf of the legal entity. If the applicant does not supply such Letter of Authorization, or any other documentation required and requested to process the application, within 15 working days LEI Pass has the right to cancel the application without any refund to the applicant.
1.6. The applicant acknowledges that LEI Pass may contact them regarding their request, renewing of a previous application or similar ancillary services and advertisements.
1.7. LEI Pass will confirm successful registration to the client over email.
1.8. LEI Pass retains the right to reject, restrict or amend the client’s application.
2. Multi-year contracts and subscription services
2.1. If the client has purchased a multi-year contract, LEI Pass will cover the renewal cost for the period bought and renew the client’s data in the Global Legal Entity Identifier Foundation (“GLEIF”) database annually based on the data provided in public company registries. The client accepts that the legal entity data will be automatically corrected according to the official entity registration documents if they have changed compared to the previous data records in the GLEIF database.
2.2. If the client has elected a subscription plan, LEI Pass will charge a renewal fee and renew the client’s data in the GLEIF database annually based on the data provided in public company registries. The client accepts that the legal entity data will be automatically corrected according to the official entity registration documents if they have changed compared to the previous data records in the GLEIF database. Subscriptions are valid until terminated.
2.3. The client agrees to notify LEI Pass in case there has been a change in data that cannot be validated from public company registries (e.g. Level 2 data which is to validate the Parent or Ultimate Parent Entity).
2.4. If the signing authority has changed during the automatic renewal or subscription period LEI Pass will ask the client to provide a new Letter of Authorization from a relevant signing authority. If the client fails to provide the signed Letter of Authorization by the relevant person LEI Pass cannot continue with the automatic renewal. The LEI will be renewed once the customer provides the Letter of Authorization by the legal representative of the company or can provide proof that he/she is authorized to sign the authorization form. If no Letter of Authorization is presented within 60 days, LEI Pass has the right to cancel the multiyear or subscription contract without any refund.
2.5. The client has no right to any refunds should it terminate a multiyear or subscription contract.
2.6 The subscription will be marked for automatic renewal unless the subscription is canceled within 7 days of the subscriptions due date.
3. Prices & Fees
3.1. Applicable prices and fees are published on the Site and are subject to change from time to time and on a case by case basis.
3.2. Purchases are final and without any possibility of refunds.
3.3. Payment can be made by any of the options made available on the Site from time to time.
4. Money-back guarantee
4.1. If your LEI-code has not been issued, renewed or transferred, as the case may be, within seven days from your purchase of the services you are eligible for LEI Pass' money-back guarantee, taking into account the below conditions and provisions.
4.2. The money-back guarantee excludes any external costs LEI Pass has had in relation to processing your application.
4.3. You are only eligible for the money-back guarantee if you have promptly provided all necessary documentation for LEI Pass to process your application successfully.
4.4. To redeem any funds, you need to apply for the guarantee by sending an email to [email protected]. LEI Pass can chose mode of repayment at its own discretion.
5. Final conditions
5.1. LEI Pass operates as an LEI Registration Agent in the name of the client and cooperates with the GLEIF accredited Local Operating Units (”LOU”s) to order, renew or transfer LEIs for their clients.
5.2. LEI Pass reserves the right to make changes to its Terms and Conditions at any time. A document outlining the current Terms and Conditions can always be found on the Site.
5.3. LEI Pass does not guarantee a successful registration, renewal or transfer of any LEI, but will use reasonable efforts to deliver the services with a successful outcome.
5.4. The client and applicant are required to use LEI Pass’ services in good faith and to act accordingly. This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of Sweden. Each party irrevocably agrees that any dispute first shall be attempted to be resolved through negotiations between the parties in good faith. Should no resolution be reached through negotiation, the courts of Sweden shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.
5.5. LEI Pass reserves the right to restrict access to the entire or parts of the Site, at its own discretion. You must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on the Site.
5.6. LEI Pass do not warrant or represent: (i) the completeness or accuracy of the information published on the Site; (ii) that the material on the Site is up to date; or (iii) that the Site or any service on the Site will remain available.
5.7. LEI Pass accepts no liability, direct or indirect, in relation to any information on the Site or any of the services provided. The client accepts full responsibility for all LEI related activities in relation to the entities he/she represents.
5.8. If any provision of this agreement shall be held or made invalid by a court decision, statute, rule or otherwise, the remainder of this agreement shall not be affected thereby and the parties shall use their commercially reasonable efforts to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such provision.
